End User License Agreement (EULA)
This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "you") and PersonL LLC d/b/a ChordFlow ("Company," "we," "our," or "us") for the use of the ChordFlow software platform and related services ("Software").
By accessing or using our Software, you agree to be bound by the terms of this Agreement.
Grant of License
Software License
Subject to the terms and conditions of this Agreement, Company grants you a limited, non-exclusive, non-transferable, revocable license to use the Software in accordance with:
- Your subscription plan terms
- These license terms
- Our Terms of Service
- Applicable laws and regulations
Scope of Use
You may use the Software for:
- Requirements management and documentation
- Document upload, organization, and collaboration
- AI-powered analysis and chat features
- Team and project management
- Integration with authorized third-party services
License Restrictions
You may NOT:
- Copy, modify, or create derivative works of the Software
- Reverse engineer, decompile, or disassemble the Software
- Remove or alter any proprietary notices or labels
- Use the Software for illegal or unauthorized purposes
- Sublicense, rent, lease, or transfer the Software to third parties
- Use the Software beyond the scope of your subscription plan
- Attempt to circumvent usage limitations or security measures
Intellectual Property Rights
Company Rights
- ChordFlow owns all rights, title, and interest in the Software
- All trademarks, service marks, and logos are Company property
- The Software is protected by copyright, patent, and other intellectual property laws
- This Agreement does not grant you any ownership rights in the Software
User Content Rights
- You retain ownership of content you upload or create using the Software
- You grant Company a limited license to use your content solely to provide the Software services
- Company does not claim ownership of your original content or data

- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY OR COMPLETENESS
- UNINTERRUPTED OPERATION
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- COMPANY'S LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM
- COMPANY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY
Termination
Termination Rights
- You may terminate this Agreement by canceling your subscription
- Company may terminate for breach of this Agreement or Terms of Service
- Termination does not entitle you to refunds of prepaid fees
Effect of Termination
- Your license to use the Software immediately ends
- You must cease all use of the Software
- Company may delete your data after a reasonable period
- Provisions that should survive termination will continue to apply
Export Control
The Software may be subject to export control laws and regulations. You agree to comply with all applicable export control laws and not to export or re-export the Software in violation of such laws.
Government Use
If you are a government entity, the Software is "commercial computer software" and "commercial computer software documentation" as defined in applicable government regulations.
Updates and Modifications
Software Updates
- Company may provide updates, patches, and new versions
- Updates may be automatically installed
- Continued use constitutes acceptance of updates
License Modifications
- This Agreement may be updated from time to time
- Material changes will be communicated with reasonable notice
- Continued use after changes constitutes acceptance
Governing Law
This Agreement is governed by the laws of the State of Delaware without regard to conflict of law principles.
